INTRODUCTION
Thank you for choosing Signage Kings™.
These Terms and Conditions apply to the use of the Signage Kings Portal (the “Site”), and all of its divisions, subsidiaries, and affiliate-operated independent organizations, or web-based Internet websites which reference these Terms and Conditions.

The Site and all associated technology components; including software and hardware, is owned and operated by Novateur Integrated Solutions Limited (RC 888567) registered as a Limited Liability Company under the laws of the Federal Republic of Nigeria. For the purposes of this agreement, “seller”, “we”, “us” and “our” all refer to Signage Kings Nigeria and it’s web portal (www.signagekings.ng), or similar portals built for Signage Kings under exclusive agreements, and further contract with any other third-party.

Signage Kings Nigeria reserves the right to change, modify, add, or remove portions of both the Terms and Conditions of Use of the Site, and the Terms and Conditions of Sale at any time. Changes will be effective when posted on the Site without a prior notice being provided. Please check these Terms and Conditions regularly for updates. Your continued use of the services provided by Signage Kings Nigeria following the posting of changes to these Terms and Conditions constitutes your acceptance, and knowledge of all changes. Kindly review the Terms and Conditions listed below diligently prior to using our service as your use of the Site, its associated components, Services, and Solutions indicates your agreement to be wholly bound by these Terms and Conditions.

You agree that if you are unsure of the meaning of any part of these Terms and Conditions, or have any questions regarding the Terms and Conditions, you will not hesitate to contact us for clarification. No extrinsic evidence, whether oral or written, will be incorporated.

STANDARD TERMS AND CONDITIONS AND GENERAL TRADING INFORMATION
These Terms and Conditions apply to all orders and supersedes all other information gotten in the public domain, whether by hearsay, other people’s thoughts, and opinions. Receipt of acknowledgement of order by you, constitutes your acceptance that our conditions are the only conditions that apply to the contract notwithstanding any purported terms put forward by you.

PAYMENT TERMS
Collection of payments shall follow this order:
FULL PAYMENTS for all orders on the Signage Kings Site 100% full payments is expected before orders will be processed.

DISCOUNTS are offered on the strict understanding that accounts are paid by the due date. We reserve the right to revoke an invoice containing any discounts to accounts which become overdue.

VAT (VALUE ADDED TAX) is applicable to our products and services. If you place an order and such a payment applies, VAT will be added to your order. You will be contacted to pay the VAT before installation will be undertaken. If VAT is noticed on your order after the bill has been paid, you as the customer are liable to pay the VAT in full before receiving your signage but in this regard, we will bear partial responsibility of negligence and ensure it does not reoccur.

OVERDUE ACCOUNTS
No good(s) will be delivered on accounts which remain unpaid. We reserve the right to charge interest on overdue accounts from the date the account became due until payment is received, to which a mail would be sent before it becomes active.
This does not prevent us from pursuing payment of overdue accounts at any time after payment becomes due and shall be in addition to and without prejudice to any other legal and civil rights we may choose to raise against you. We reserve the right to charge you for any legal or collection charges where it is necessary to obtain payment from you of an overdue account through a third party or Court proceedings.
Overdue accounts will be charged daily no more than 0.5% of the total payment due following the date to which first notice was sent.
Customers with overdue accounts are required to arrange payment as soon as possible or alternatively request a payment fee waiver in writing.

PASSING OF TITLE AND RISK
The risk in the goods shall pass to you on delivery. All goods, delivered or not, remain our property until payment is received in full. In respect to already delivered goods with unresolved payments, we will, without loss of any rights or remedy, remove from your possession those goods belonging to us in accordance with these conditions and we shall be entitled to enter into the property where the goods are stored to repossess and remove the same. You hereby grant us an irrevocable license to enter your premises for the said purposes.

PRODUCTS
The quantity, quality and description of and any specification for the Goods and Services shall be those set out in the Quotation. It is the obligation of the Customer to check the structure to which the Goods are to be affixed, and to prepare surfaces to which the Goods may be applied, so that in each case they are suitable for such affixing and application. The Customer acknowledges that following installation it is responsible for the inspection, maintenance and repair of Goods supplied under the Contract.

QUOTATIONS AND CONTRACTS
Orders are accepted subject to our right to adjust prices quoted to take account of any changes in the law or Government regulations requiring us to increase prices by way of direct taxation, import duties, customs and excise duties or otherwise. The prices are based on today’s current costs of production and in the event of any increase in wages or costs of materials to us occurring after the confirmation of accepted contract, we shall do well to transfer in monetary form the burden of increment in prices of goods and services to you. Quotations are only valid for 10 business days after the initial quote date, except otherwise stated.
Any price or quotations is subject to change at any point without notice, including advertised offers.

PRICES
The price of the Goods and Services shall be the price set out in the Order Confirmation or (where the price is not referred to in the Order Confirmation) as set out in the Quotation, or (where no price has been quoted or a quoted price is no longer valid) the price calculated by Signage Kings from its normal price list from time to time.
Signage Kings Nigeria reserves the right to increase the price of the Goods and/or Services to cover:
i) any increase in the cost to Signs Express which is due to any factor beyond the control of Signage Kings (such as without limitation any foreign exchange fluctuation currency regulation, alteration of duties, significant increases in the costs of labour, materials, or other costs of manufacture);
ii) any change in delivery dates quantities or specification of the Goods and Services which are requested by the Customer;
iii) any delay caused by any instruction of the Customer or failure of the Customer to give Signage Kings adequate information or instructions.
Where applicable all prices quoted are subject to VAT at the current rate.

DELIVERY
Every effort will be made to deliver orders on time, but any delivery day specified is a best estimate and no liability is accepted for any loss arising from delay or error in the delivery and or installation of the signage. Any dates quoted for delivery of the Signage and/or provision of the Services are approximate only and Signs Express shall not be liable for any delay in delivery of the Goods and/or provision of the Services howsoever caused. Time for delivery and/or provisions shall not be of the essence unless previously agreed in writing by Signage Kings. The Goods may be delivered and/or the Services provided to the Customer in advance of the quoted date upon giving reasonable notice to the Customer.
Signage Kings Nigeria may deliver the Goods by separate instalments and perform any Services in stages. Each separate instalment or stage will be invoiced and paid for in accordance with the provisions of the Contract.
Each instalment or stage will be a separate Contract and, unless specifically set out in these Conditions, no cancellation or termination of any one Contract relating to an instalment or stage will entitle the Customer to repudiate or cancel any other Contract or instalment or stage.
International transit times are approximate and may be subject to customs clearance. Local country restrictions apply. Signage Kings will not be held responsible for any delay in delivery of the goods with international deliveries.
We shall not be held responsible for any customs and excise charges that may occur from the import or export of your goods.

QUANTITY CHANGES TO ORDERS
Any changes in quantity ordered must be made in writing to us prior to commencement of fabrication. Any increases in the order must be regarded as a separate contract unless written notification is received before work commences on the production of the original order.

CHANGES IN SPECIFICATION
Signage Kings reserves the right to make any changes in the specification of the goods and/or services which are required to conform with any applicable legal or regulatory requirements (including but not limited to safety requirements) or which do not materially affect their quality or performance.
You must examine all goods delivered at the time of delivery. We shall not be liable for any loss arising from damage caused to the goods in transit unless loss or damage is noted on the delivery note at time of delivery.
Any specification change made by you (the customer) that affects the quantity and/or specification of materials to be used for production will lead to a revision of the proposal and invoice sent to you.

WARRANTY, LIABILITIES & INDEMNITY
Signage Kings will within a period of 12 months from the date of delivery and/or installation of Goods and from the date of provision of Services, in respect of Goods and/or Services which are proved to the reasonable satisfaction of both parties to be damaged or defective, or not to comply with the agreed specification due to defects in material, workmanship or design (other than a design made, furnished or specified by the Customer), repair, or at its option replace, such Goods, and/or re-perform or at its option refund the price of such Services. This obligation will not apply where:
i) the Customer has improperly used the Goods in any way whatsoever, or the Goods have been subjected to misuse, unauthorised repair, damage, negligence, adverse weather conditions and/or alteration;
ii) the Customer has not complied with any instructions relating to preparation of the surfaces and areas to which the Goods are applied, and/or such surfaces or areas have been subjected to previous workmanship by third parties and/or contain latent defects;
iii) damage, discolouration or failure to painted surfaces has occurred through no fault of Signage Kings;
iv) Signage Kings carries out work which is not provided for in the Order Confirmation, and is beyond the scope of the Services;
v) the Customer has not complied with any instructions as to use and care of the Goods in all respects; or
vi) the Customer has failed to notify Signage Kings of any problem or suspected problem within 2 days of the provision of the Services and/or supply of the Goods.

We shall not be held liable for any financial loss incurred by you, including but not limited to expenses incurred by you, interest payments & loss of earnings or similar gains you would have received on monies paid to us in lieu of any unfulfilled order.

Nothing in these terms and conditions shall affect the rights of a consumer.

Signage Kings Nigeria accepts liability for personal injury or death caused by the negligence of

Signage Kings Nigeria or its employees (acting within the course of their employment or duties and the scope of their authority) and for any other matter for which it would be illegal to exclude or attempt to limit or exclude its liability.

Except as provided in the condition before, Signage Kings will be under no liability to the Customer whatsoever (whether in contract, tort (including negligence), breach of statutory duty, restitution or otherwise) be liable for any damage or for any direct, indirect or consequential loss (all three of which terms include, but are not limited to, pure economic loss, loss of profits, loss of business, depletion of goodwill and like loss) howsoever caused arising out of or in connection with:
i) any breach by Signage Kings of any of the express or implied terms of the Contract;
ii) any of the Goods and/or Services (including but not limited to any use made by the Customer of any Goods, or of any product incorporating any of the Goods), or the manufacture or sale or supply, or failure or delay in supply, of the Goods and/or Services by Signage Kings or on the part of Signage Kings’ employees, agents or sub-contractors; or
iii) any non-fraudulent statement made or not made, or advice given or not given, by or on behalf of Signage Kings.

RISK AND PROPERTY
Risk of damage to or loss of the Goods shall pass to the Customer:
i) in the case of Goods to be delivered to customer’s premises at the time when Signage Kings notifies the Customer that the Goods are available for collection; or
ii) in the case of the Goods to be delivered otherwise than at Signage Kings’ premises at the time of delivery to such premises or, if the Customer fails to take delivery of the Goods, from the time when Signage Kings has tendered delivery of the Goods.

Notwithstanding delivery and the passing of risk in the Goods or any other provision of these Conditions ownership of the Goods shall not pass to the Customer until Signage Kings has received in cash or cleared funds payment in full of the price of the Goods and all other Goods and Services for which payment is due from Signage Kings.

FORCE MAJEURE
We shall not be held responsible for any failure or delay that arises in the cause of fulfilling our obligations under this contract. This includes causes outside our reasonable control but is not limited to inability to procure materials except at higher prices due to any of such causes, and in such circumstances, we shall be entitled by notice to terminate the contract in whole or in part without incurring any liability whatsoever to you.
In the event that after a good or service is delivered an act of Terrorism, an act of God or any act relating to events outside human control, like flash floods, earthquakes, strong winds or other natural disasters, causes or inflicts permanent damage on the goods or service aforementioned, Signage Kings Nigeria will be excused from her refund duty and may only intervene when and if the affected party is willing to reschedule and bear the costs for a replacement.

REFUNDS
Any repaired or replacement Goods or re-performed Services will be liable to repair or replacement (or re-provision or, at Signage Kings’ option, refund) under the terms specified in the previous section for the unexpired portion of the 12-month period from the original date of delivery of the replaced Goods or from the original date of provision of the re-performed Services.
The above warranty does not extend to parts materials or equipment not manufactured or procured by Signage Kings in respect of which the Customer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to Signage Kings Nigeria.

CANCELLATION CHARGES
No order which has been accepted by Signage Kings Nigeria may be cancelled by the Customer except with the agreement in writing of Signage Kings Nigeria and on terms that the Customer shall indemnify Signage Kings Nigeria in full against all loss (including loss of profit) costs (including the cost of all labour and materials used) damage charges and expenses incurred by Signage Kings as a result of cancellation. If the order has not yet been paid for then an invoice will be raised for the amount concerned and sent to the responsible party.

SAMPLES
Customers are free to ask for a sample on order request of. However, the customer shall bear the cost of the samples made. All samples, drawings, descriptions, specifications, illustrations and advertising issued by Signage Kings or contained in any of Signage Kings’ catalogues or brochures or on any website connected with Signage Kings Nigeria (together “Samples”) are issued or published for the sole purpose of giving an approximate idea of the Goods represented by or described in them. Samples do not form part of the Contract and the Contract is not a sale by sample.
Please note that all images, ideas, text, concepts, drawings, artworks, mock-ups, and logos supplied by us are the intellectual property of Signage Kings and are not to be used without our written permission.

VIRTUAL PROOFS
Please note that the colour of the printed or fabricated items will be affected by the type of material chosen for the artwork to be printed on, as well as any applied Lamination or Varnish. Signage Kings Nigeria shall not accept liability or responsibility for any variations in colour or any other defects or irregularities as a result of this.
However, Materials and Samples or Sample Coloured Material may and can be presented and agreed upon before fabrication, production can be commenced.
Virtual Proofs are soft copy representation of the design(s) and Mockup designs (which are a graphical representation of how the signage or final product looks like) which when accepted by mail will be sent to production. The Virtual Proof is to be reviewed by the customer, changes in terms of colour, content. Changes in initially agreed upon size will result in a revision of Proposal, Estimate, Quotation and/or Invoice due to you the customer.
Physical Proofs are NOT supplied as standard, they must be requested by the person making an order at the same time the order is being placed, this will be at a cost to you the customer. This should be done in writing as verbal confirmation shall not be accepted.
Whilst performing a standard or advanced (proofing) check, Signage Kings discovers that any Artwork like Logos provided by the customer is defective or incorrect or not in the right format, Signage Kings will notify the customer. It is the customer’s responsibility to either provide the corrected artwork, or give permission for Signage Kings to the make the necessary changes (charges applicable). If the customer chooses to proceed without making the advised corrections, then they do so at their own risk. We will not be held responsible for any mistakes, viewing, spelling, punctuation, contact details or layout.
Please check Virtual Proofs thoroughly as once approved, all proofs are deemed correct and ready to go to production and the responsibility passes to the customer. You will need to view all proofs at 100% (for print-products) to see the exact size of your product when produced. We will not commence production until we have received acceptance to a copy of the final proof with a written confirmation to go to production, via email, or post.
Final Virtual Proofs must be signed off by the customer in writing, and the sign off email received by Signage Kings before 6pm, on the day that the proof was sent, in order to receive the products on the agreed deadline.

ON HOLD
If we have not been notified after 14 days a 5% charge of the total value of the original order will be made plus a ₦1,000.00 administration fee.
We reserve the right to discard your job after 28 days of ordering. Please note you will still be liable to pay the full charge of the total value unless the job is cancelled within the 28 days to which the cancellation charges will apply.

MISCELLANEOUS
This contract between you and Signage Kings Nigeria shall be governed by and construed in accordance with the Laws of the Federal Republic of Nigeria.
Reviews placed through our Social Media channels and TrustPilot account may be used across the Signage Kings Nigeria website.
Complaints must be made within 48 hours of receiving your signage. The complaint will be assessed and if Signage Kings deems it necessary, a reprint, repair, or reproduction may be offered. Any complaints made after 48 hours are automatically void of any offer and will not be assessed.

RESELLERS
These Terms & Conditions as well as other documentation, Reseller Contracts, and Payments MUST be filled and approved before reselling rights are granted.
Reseller acknowledges and agrees that Signage Kings Nigeria shall own the copyright in materials produced for Resellers and reserves all copyright therein.
Signage Kings reserves the right, in its sole discretion and without incurring any liability to Reseller, to update, improve, replace, discontinue, modify or alter the specifications for and functionality of the products or the online service from time to time.
Reseller may use approved materials to market and promote the products under the terms and conditions of this agreement. These materials shall not be reproduced, modified, distributed or otherwise used in whole or in part in any manner without the prior written consent of Signage Kings. Reseller must be able to provide evidence, if requested the use of Signage Kings’ services within no more than four months either side of date of download.
Reseller shall not use these materials to market and promote services that differ from those provided by Signage Kings.
Subject to the terms and conditions of this agreement, Signage Kings hereby grants Reseller and its authorised customers a license to the products as set forth in the T&C’s; provided that Reseller’s license shall apply only to its internal use in production primarily to support the reseller’s activities, for demonstration of our products to prospective customers, and not
for any other purpose.
Product images may not be linked to or appear on web pages or other media containing inappropriate material such as but not limited to, material that is obscene including (child pornography), sexually explicit, defamatory, libellous, threatening, abusive, hateful, excessively violent, racially offensive or that Print Anything otherwise deems harmful or offensive.
By using images provided by us, you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorised to download and use our images.
Upon termination of this agreement and as directed by Signage Kings, Reseller shall: remove all copies of the above materials provided by Signage Kings and provide evidence of confirmation.
